THIS AGREEMENT is between a user (“Data Owner”) of the Agricultural Data Coalition (ADC) Repository and a “Data Recipient” receiving access to data stored in the Data Owner’s ADC Repository account. The Data Owner collects and stores data in the ADC Repository and wishes to grant the Data Recipient access to some or all of this information. The Data Recipient agrees to use the data only under the terms of this Agreement.
Access: Data Owner grants the Data Recipient access to information on the ADC Repository via email link or through the Data Recipient’s repository account.
Revocation of Access: Data Owner may revoke access at any time, without notice. Upon revocation, the Data Recipient will no longer have access to the Data Owner’s information.
Purpose of Use: Data Recipient agrees to use the data only for the purposes provided by the Data Owner separately, either verbally or in writing.
Return or Destruction of Data: Data Recipient agrees to return any data obtained from the ADC Repository upon request. Alternatively, the Data Owner can request that the Data Recipient certify the data has been destroyed.
Term of Agreement: This Agreement starts when data sharing is initiated and continues until the Data Owner removes access or the set duration ends. Either party can terminate this Agreement upon notice, but limitations on data use survive for 3 years.
No Further Distribution: Data Recipient agrees not to further distribute the data without the Data Owner’s written consent.
Assignment: Neither party may transfer this contract without prior consent from the other party.
No Warranties: Both parties represent that they are authorized to enter into this transaction. No guarantees are made regarding benefits from this data sharing.
Amendments: Any changes to this Agreement must be in writing and signed by both parties.
Entire Agreement: This Agreement is the complete understanding between the Data Recipient and the Data Owner regarding data sharing and overrides any prior agreements.
Governing Law: This Agreement is governed by the laws of the State of Ohio.
Severability: If any part of this Agreement is found invalid, the rest remains effective.
Waiver: Failure to enforce any term does not waive the right to enforce it later.
Notices: Notices under this Agreement will be given by email.
